business to business transfer: Transfer Pricing in International Business Geoff Turner, 2013-03-15 For centuries, trade has endured stumbling blocks, mistakes, and moments of inspiration. It has contributed to the modern, globalized world in which we live, and the increasing economic, social, and political importance of trade has spawned a phenomenon called the multinational organization. However, these organizations have a national home to where profits will ultimately have to come, and in their effort to maximize the amount repatriated, they often engage in internal-pricing practices, known more commonly as transfer pricing This book reminds us all of the important issues of transfer pricing, and how easy it is to create friction between all of the interested parties. This book also goes on to provide an insight into how such conflicts can be assuaged or avoided altogether, and explains how transfer pricing may become a managerial tool by establishing a common language that may be used as one driver for creating added value throughout the organization. Transfer pricing is not simply about maximizing income. It is a much more important strategic management issue that, treated unwisely or with ignorance, is likely to lead to an incongruity in the added value of an organization’s products and services as well as its crucial return on capital employed. |
business to business transfer: Transfer of Business and Acquired Employee Rights Jens Kirchner, Sascha Morgenroth, Tim Marshall, 2016-07-01 This book provides practical, business-orientated and accessible guidance on key employment and labour law aspects in national and international transfers of business in the European Union, its member states and selected important countries around the world. It contains a comprehensive overview of relevant topics such as safeguarding of employees' rights, impacts on employees' representatives and on collective agreements, company pension entitlements, insolvency, M&A transactions and cross-border transfers of business for each country covered. This overview is accompanied by summaries of leading case law and excerpts of important national regulations. Transfers of business play an important role in today's globalised business world. In particular, employment and labour impacts of transfers of businesses are often a driving legal and business factor in national and international restructurings and M&A transactions. The successful implementation of transfers of business requires to recognise and comply with the relevant legal frameworks of the countries involved. This publication is written by specialised employment lawyers from around the globe and addresses in-house counsels, human resources managers and legal advisors in charge of or accompanying national or international transactions. |
business to business transfer: Transfer Pricing and Business Restructurings Michael Lang, Raffaele Petruzzi, 2023-09-19 Transfer pricing and business restructurings: issues and developments In the ever-evolving global landscape, the ability of businesses to swiftly adapt is crucial for maintaining relevance and competitiveness. This imperative holds true for multinationals, which frequently engage in strategic restructuring of their operations, assets, and resources to realign with the dynamic shifts in market conditions. This dynamic approach enhances operational efficiency, cuts costs, and optimizes financial performance. However, the intricacies of restructuring, especially in the context of transfer pricing, pose considerable challenges. Despite elaborate guidance from the OECD and UN, transfer pricing considerations in business restructuring remain complex. Determining appropriate transfer pricing methodologies, finding comparable transactions, and ensuring accurate documentation present hurdles for both multinationals and tax administrations. This publication discusses the most important issues and recent developments related to this theme. It attempts to cover various issues related to business restructuring, including delineation and recognition, remuneration of restructuring and post-restructuring, and other relevant issues such as exit taxes, location savings, permanent establishments, and implications of COVID-19. This book is based on the outcomes of the presentations and discussions held during the WU Transfer Pricing Symposium, that took place in October 2022 at the WU Vienna University of Economics and Business. The authors, apart from providing a theoretical background to the discussed issues, also present case studies that show how those issues can be approached in practice. |

business to business transfer: Knowledge Transfer in Acquisition of a Small Hydrology Business Sonia G. Lloyd, 2008-10-20 This study investigated the process of knowledge transfer during a company takeover. The target company is a small international company with offices in six countries that specializes in hydrology. The acquiring company is a large multinational with offices around the world. The acquirer has no experience in the hydrology business and this represents their first experience with the industry. A further factor in the study is looking at how the takeover is affected by differences in culture between the two businesses. The acquirer is very structured and the acquired highly informal. Data for this study has been gathered from a questionnaire and interviews. The findings of the research were generally negative as there was little evidence of knowledge transfer taking place during the first seven months of the acquisition and a general failure to recognize the cultural differences. Furthermore, the acquirer has initially allocated insufficient importance and resources to this acquisition. |

business to business transfer: Software Ownership Transfer Vinod Sankaranarayanan, 2016-06-29 Organizations invest immense amounts of time, resources, and attention in their software projects. But all too often, when it's time to transfer the finished project to new owners, they settle for the most superficial classroom training, documentation, and code walkthroughs. These conventional approaches to knowledge transfer often fail, dramatically reducing the value of new systems in production. You can do much better - and Software Ownership Transfer will show you how. This is the first practical, hands-on guide to knowledge transfer in today's agile environments. Using a realistic, large-scale case study, ThoughtWorks expert Vinod Sankaranarayanan shows how to elevate knowledge transfer from necessary evil to an activity full of agility and innovation, and bring together multiple organizations and cultures to make ownership transfer work. Sankaranarayanan explains why mere documentation of error reports and processes isn't enough, and shows how to successfully craft a knowledge transfer program that's more substantive and effective. Along the way, he offers guidance on overcoming the commercial compromises and personal tensions often associated with transferring systems to new ownership; and on transforming mere knowledge transfer into something much better: taking ownership. |
business to business transfer: Business Transfers, Family Firms and Entrepreneurship Bérangère Deschamps, Audrey Missonier, Catherine Thévenard-Puthod, Paulette Robic, Dominique Barbelivien, 2020-12-13 Business transfer' refers to the transfer of ownership and leadership from one or more outgoing owner-manager(s) to one or more incoming owner-manager(s). Apart from all the company's material assets, it presupposes that information, relationships, know-how and social capital are also transmitted from one to the other. While much of the research on entrepreneurship has focused on new business ventures, few studies have considered business transfers as an alternative way of embarking on entrepreneurial activities. Business Transfers, Family Firms and Entrepreneurship provides the international community with a more comprehensive state-of-the-art of business transfer studies, which will enrich readers' understanding. The business transfer is examined through different prisms: family businesses, internal business transfers to employees, external business transfers, and woman in business transfers. This book deals with business transfer as a whole, following a logic of continuity and sustainability for the transferred firm. It offers a refreshing point of view on business transfers, in terms of both the process and the actors, and from both the seller's and the buyer's sides. It presents the research on all types of business transfer including internal and external transfers and will be of interest to researchers, academics, and students in the fields of entrepreneurship, small business management, family business, and strategic management. It can also be instructive for practitioners and stakeholders involved in a business transfer-- |

business to business transfer: Science, Business and Universities Joanna Duda, Tomasz Bernat, 2022 Cooperation between science and business (S2B cooperation) is a very important issue from the points of view of the domestic economy, companies, and universities. This is mainly because such cooperation is a catalyst for faster and reliable development - not only of enterprises, but also of the entire economy. Thanks to S2B cooperation, enterprises can gain and commercialize new and ground-breaking solutions. Universities in turn can give their research a more practical dimension to increase its economic applicability, which helps universities prepare future staff to work in modern enterprises. The aim of this publication is to indicate how cooperation between universities and business can be implemented in an international dimension. It shows the role of modern universities in supporting the development of enterprise and entire economies as well as the role of modern enterprises that use resources located in universities (including knowledge resources). This unique combination has a positive impact on the results and developmental opportunities for each of them. Any potential obtained in this manner is the basis for creating a competitive advantage on the market. This book is devoted to a specific area of cooperation between enterprises and universities and will be of interest to researchers, academics, practitioners, and students in the fields of entrepreneurship, knowledge management, international relations, and higher education. |

business to business transfer: Deep Smarts Dorothy Leonard, Walter C. Swap, 2005-01-11 Deep smarts are the engine of any organization as well as the essential value that individuals build throughout their careers. Distinct from IQ, this type of expertise consists of practical wisdom: accumulated knowledge, know-how, and intuition gained through extensive experience. How do such smarts develop? And what happens when people with deep smarts leave a particular job or the organization? Can any of their smarts be transferred? Should they be? Basing their conclusions on a multi-year research project, Dorothy Leonard and Walter Swap argue that cultivating and managing deep smarts are critical parts of any leader's job. The authors draw on examples from firms of all sizes and types to illustrate the connection between deep smarts and organizational viability and continuous innovation. Leonard and Swap describe the origins and limits of deep smarts and outline processes for cultivating and leveraging them across the organization. Developing an experience repertoire and receiving strategic guidance from wise coaches can help individuals move up the ladder of expertise from novice to master. Addressing a topic of increasing importance as the Boomer generation retires, Deep Smarts challenges leaders to take a hands-on approach to managing the experience-based knowledge shaping the future of their organizations. |

business to business transfer: Impact of Mobile Payment Applications and Transfers on Business Opati, Thaisaiyi Zephania, Gachukia, Martin Kang'ethe, 2019-12-20 Consumers continue to rely heavily on their phones to complete such tasks as transferring funds between banks or accounts, depositing or withdrawing funds, paying bills, and purchasing items. Mobile money users are oftentimes more financially resilient and can protect themselves better against economic and other shocks. This book is ideally designed for economists, financial analysts, business managers, leaders, scholars, practitioners, researchers, and students in fields that include management, finance, economics, commerce, and leadership. |

Cases in each volume are listed in the prefatory table. The United States Tax Court is a federal trial court of record established by Congress under Article I of the U.S. Constitution, section 8 providing (in part) that Congress has the power to constitute Tribunals inferior to the Supreme Court. “The Tax Court specializes in adjudicating disputes over federal income tax, generally prior to the time at which formal tax assessments are made by the Internal Revenue Service. Though taxpayers may choose to litigate tax matters in a variety of legal settings, outside of bankruptcy, the Tax Court is the only forum in which taxpayers may do so without having first paid the disputed tax in full. Parties who contest the imposition of a tax may also bring an action in any United States District Court, or in the United States Court of Federal Claims; however these venues require that the tax be paid first, and that the party then file a lawsuit to recover the contested amount paid (the full payment rule”).” Contents 8 Findings of Fact 8 Background 8 John Hancock’s History9 Investment Process and Review10 Leasing10 LILO and SILO Transactions 10 Basic Structure 15 History 17 Due Diligence 18 The Hoosier Transaction 19 The LILO Test Transactions 20 OBB LILO20 Lease and Sublease23 End of Sublease Term25 SNCB 2 and SNCB 5 Lot 1 LILO Transactions25 Lease and Sublease28 End of Sublease Term 28 The SILO Test Transactions 29 TIWAG29 Lease and Sublease33 End of Sublease Term35 Two Dortmund Transactions35 Lease and Sublease38 End of Sublease39 SNCB SILO39 Grant and Subgrant42 End of Subgrant Term 43 Tax Returns, Notices of Deficiency, and Trial 43 Procedural History48 Trial 53 Opinion 53 Burden of Proof53 Principal Place of Business54 Leveraged Lease Transactions54 Frank Lyon58 LILO and SILO Litigation 77 The Test Transactions 78 Economic Substance79 Objective Inquiry88 Subjective Inquiry89 Substance Over Form91 OBB and SNCB LILO Transactions110 SILO Test Transactions 145 Interest Deductions 147 Original Issue Discount 149 Transaction Expenses 149 Conclusion NOTE: NO FURTHER DISCOUNTS FOR ALREADY REDUCED SALE ITEMS. business to business transfer: Transfer Pricing Answer Book David B. Blair, 2017-05-07 The phenomena of increasingly global business enterprises with valuable intangible property expose companies to transfer pricing enforcement by different countries around the world. Many of these countries are increasingly aggressive in enforcing their local transfer pricing rules, as they attempt to protect their tax revenue base. To avoid double taxation of the same income in this environment, companies often are required to deal with the highly specialized, bilateral treaty-based competent authority process developed to prevent double taxation at a time when trade mainly involved only two established countries. Even more challenging today, companies and tax authorities increasingly are faced with the potential for multiple taxation of the same income, as supply chains cross many borders and as the tax authorities of emerging countries become players in the global taxation process, and the resulting stresses, strains, and limitations of the bilateral treaty-based competent authority process have become more apparent. In light of the high-dollar risks presented by the increased enforcement efforts of tax authorities worldwide, the complexity of the ever-changing, inherently uncertain transfer pricing standards, and the continually evolving business models of businesses adapting to the constantly changing global economy, companies need practical guidance to permit them to develop and defend their transfer pricing strategies. Transfer Pricing Answer Book gives companies such guidance by discussing all aspects of transfer pricing, from initially planning a transfer pricing strategy, to alternative ways to defend the strategy from attack by two or more tax authorities, to resolving a case before competent authorities, to bringing a transfer pricing case to court. The book's non-technical discussion is presented in a question and answer format that will appeal to readers regardless of their prior level of experience or familiarity with taxes in general and transfer pricing in particular. Transfer Pricing Answer Book is an invaluable resource for company executives and their advisors who are seeking to better understand this important area of tax law that has become such an important economic facet of so many businesses. |
